These terms govern access to and use of benchlinehealth.com as a corporate information website.

This Site does not provide medical advice, healthcare services, prescribing, pharmacy services, laboratory services, emergency care, payment checkout, or a patient portal. Do not use this Site for urgent medical needs or to submit medical records, prescriptions, insurance information, symptoms, diagnosis details, payment-card information, or other sensitive patient information.

About The Site

These Terms of Use ("Terms") govern your access to and use of benchlinehealth.com (the "Site"). The Site is operated by Benchline Health ("Benchline", "we", "us", or "our").

The Site is a corporate information website. It provides general information about Benchline, our company, possible business lines, operating model, partnerships, recruiting, supplier relationships, and contact channels. The Site does not offer products or services for sale and is not a patient-facing service.

These Terms apply only to this Site. Separate brand, provider, patient, pharmacy, laboratory, vendor, partner, applicant, payment, or care-related websites and services may have their own terms, privacy notices, consent materials, HIPAA-related documents, refund terms, payment terms, or other legal notices.

Acceptance Of These Terms

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" refer to both you and that organization.

You must be at least 18 years old, or the age of majority where you live, to use the Site.

No Medical Advice Or Healthcare Relationship

Nothing on the Site is medical advice, diagnosis, treatment, prescribing, pharmacy advice, laboratory advice, mental-health advice, nutrition advice, product recommendation, or emergency care. Site content is general corporate information and may be incomplete, outdated, or not applicable to your circumstances.

Your use of the Site does not create a provider-patient, clinician-patient, pharmacist-patient, laboratory-patient, therapist-patient, dietitian-patient, fiduciary, confidential, advisory, or similar relationship with Benchline or any affiliated brand, medical group, pharmacy, laboratory, clinician, contractor, partner, supplier, or service provider.

If you need medical advice, contact a qualified healthcare professional. If you may be experiencing a medical emergency or crisis, call 911, call local emergency services, or go to the nearest emergency department immediately.

No Regulated Services Through This Site

The Site does not provide telehealth, telemedicine, medical-group, pharmacy, laboratory, prescription, prescription-delivery, medical device, compounded-drug, peptide, controlled-substance, payment processing, insurance, benefits, or reimbursement services.

Benchline is not offering, selling, prescribing, dispensing, compounding, shipping, recommending, or arranging any prescription drug, compounded product, peptide, supplement, medical device, diagnostic test, laboratory test, or healthcare service through this Site. Nothing on the Site is an offer to prescribe, dispense, ship, or provide any regulated product or service.

Any future patient-facing or regulated service must be governed by its own eligibility requirements, clinical review, provider terms, telehealth consent, pharmacy or lab disclosures, payment terms, privacy notices, and compliance review before use.

Professional Judgment And Partner Services

Benchline may describe an operating model involving brands, software, medical groups, pharmacies, laboratories, suppliers, vendors, or other partners. Those descriptions are informational only.

Licensed professionals and regulated entities are responsible for their own professional judgment, licensure, scope of practice, credentialing, supervision, standard of care, informed consent, prescribing, dispensing, laboratory, recordkeeping, and patient-safety obligations. Benchline does not control or override independent clinical judgment.

No statement on the Site guarantees that any person is eligible for any service, medication, test, device, product, prescription, pharmacy, clinician, or care pathway.

Telehealth, Prescribing, And Pharmacy Boundaries

Telehealth and prescribing rules vary by state and by service. A patient-facing telehealth service, if offered, may require identity verification, location confirmation, clinician licensure, informed consent, medical history, clinical appropriateness review, escalation pathways, pharmacy review, and other safeguards.

Prescription products and pharmacy services, if ever offered through a separate service, require a valid prescription where applicable and must be handled through appropriately licensed professionals and pharmacies. The Site does not replace the judgment of a prescribing clinician or pharmacist.

References to health categories, medications, ingredients, compounding, pharmacies, suppliers, or care models do not mean that a product is available, appropriate, lawful in every jurisdiction, covered by insurance, approved by the U.S. Food and Drug Administration, or suitable for any particular person.

Payments And Processor Compliance

The Site does not collect payment-card information and does not provide checkout. Any health-related claim on a separate patient-facing or commercial surface should be reviewed for substantiation, clinical accuracy, advertising compliance, FDA requirements, FTC requirements, state-law requirements, professional-board rules, platform policies, and processor requirements before publication.

Permitted Use

You may use the Site only for lawful, personal, informational, or legitimate business purposes. You may view Site content, print or download reasonable copies for internal reference, and contact us through the channels we provide.

Prohibited Use

You must not:

  • misuse the Site;
  • interfere with the Site's security, operation, integrity, or availability;
  • attempt unauthorized access to the Site or related systems;
  • scrape, crawl, harvest, extract, copy, monitor, or reuse Site content or data except as permitted by law and ordinary search-engine indexing;

  • submit medical records, prescription information, insurance information, symptoms, diagnosis details, payment-card information, patient information, or other sensitive health or financial information through general contact forms or general email channels;
  • use the Site to seek emergency care, diagnosis, treatment, prescribing, refills, medication changes, pharmacy support, laboratory interpretation, or patient support;
  • use the Site to sell, market, request, or facilitate unlawful, unapproved, counterfeit, misbranded, adulterated, restricted, or otherwise improper products or services; or
  • use the Site in a way that violates these Terms or applicable law.

Submissions And Feedback

If you contact us or submit materials through the Site, you represent that you have the right to send them and that they do not violate any law, contract, confidentiality obligation, privacy right, intellectual property right, or third-party right.

Do not send sensitive medical records, prescription information, insurance information, patient information, payment-card information, trade secrets, confidential business information, source code, or materials that you do not want us to receive through general contact channels.

If you choose to send business ideas, suggestions, or feedback through the Site, you grant Benchline a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable right to use, copy, modify, distribute, disclose, and otherwise exploit that feedback without restriction or compensation, unless we have agreed otherwise in a separate signed written agreement.

Intellectual Property

The Site and its content, including text, graphics, design, logos, trademarks, service marks, trade names, software, and other materials, are owned by Benchline or its licensors and are protected by applicable intellectual property laws.

Except for the limited use expressly allowed in these Terms, no right, title, interest, or license is granted to you. You may not remove, obscure, or alter proprietary notices on Site materials.

Privacy, Cookies, And Tracking Technologies

Our Privacy Policy explains how we may collect, use, disclose, and protect personal information. Our Your Privacy Choices page explains how to manage certain analytics, advertising, and similar tracking technologies where applicable. By using the Site, you acknowledge those notices.

Third-Party Links And Services

The Site may link to third-party websites or services, including affiliated brand sites, professional-entity sites, pharmacy sites, laboratory sites, payment processors, recruiting tools, document tools, or other partner services. We do not control and are not responsible for third-party content, terms, privacy practices, security, products, services, availability, licensure, or compliance. Your use of third-party sites is at your own risk and is governed by their own terms and notices.

Site Availability, Changes, And Suspension

We may update, suspend, withdraw, restrict, or change the Site or these Terms at any time. We may suspend or block access if we reasonably believe you have violated these Terms, misused the Site, created legal, security, privacy, payment, compliance, operational, or reputational risk, or interfered with the Site.

Continued use after updated Terms are posted means you accept the revised Terms.

Disclaimers

The Site and all content are provided "as is" and "as available". To the fullest extent permitted by law, Benchline disclaims all warranties, express or implied, including warranties of accuracy, completeness, timeliness, availability, security, merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.

We do not promise that the Site will always be available, uninterrupted, secure, error-free, current, compatible, or free of harmful components. Site content may be changed or removed at any time. We do not warrant that Site content satisfies any healthcare, legal, regulatory, payment, insurance, tax, investment, diligence, or professional requirement.

Limitation Of Liability

To the fullest extent permitted by law, Benchline and its affiliates, owners, officers, directors, employees, contractors, agents, representatives, licensors, successors, assigns, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, or for any loss of data, revenue, profits, goodwill, business opportunity, business interruption, reputation, or anticipated savings arising from or related to your use of, or inability to use, the Site.

If liability cannot be excluded, our total aggregate liability for claims arising from or related to the Site or these Terms will not exceed US$100 or the amount you paid us, if any, to use the Site in the previous twelve months, whichever is greater. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Benchline and its affiliates, owners, officers, directors, employees, contractors, agents, representatives, licensors, successors, assigns, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Site, your submissions, your violation of these Terms, your violation of law, or your violation of another person's rights.

Dispute Resolution

Before filing a claim, each party will try to resolve the dispute informally by sending written notice describing the dispute and the relief requested. Notices to Benchline must be sent to legal@benchlinehealth.com. The parties will have 30 days after receipt of notice to attempt an informal resolution, unless immediate injunctive relief is reasonably necessary.

To the fullest extent permitted by law, disputes arising from or relating to the Site or these Terms will be resolved by binding individual arbitration under the Federal Arbitration Act and the rules of the American Arbitration Association, except that either party may bring an individual claim in small claims court or seek temporary or preliminary injunctive relief in court for intellectual property, confidentiality, security, unauthorized access, or misuse of the Site.

To the fullest extent permitted by law, you and Benchline waive the right to a jury trial and agree that disputes will be brought only on an individual basis and not as a class, consolidated, private attorney general, or representative action. If this class-action waiver is found unenforceable as to a particular claim, that claim must proceed in court and not in arbitration.

You may opt out of this arbitration provision by emailing legal@benchlinehealth.com within 30 days after you first use the Site and stating your name, the email address associated with your use of the Site, and that you opt out of arbitration.

Copyright Concerns

If you believe content on the Site infringes your copyright, contact legal@benchlinehealth.com and identify the copyrighted work, the allegedly infringing material and its location, your contact details, and your good-faith basis for the request.

General Terms

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, corporate transaction, or by operation of law.
